12. Project Terms
I. Services
Big Boys Media agrees to provide web design and development services as outlined in the project proposal and on our website: BigBoysMedia. These services may include, but are not limited to, website design, development, content management system (CMS) integration, and deployment.
II. Payment Terms
a. Payment Schedule: The total project cost will be divided into three payments.
b. Initial Payment: A non-refundable 60% advance payment is required to begin any work.
c. Mid-Project Payment: An additional 20% is due once the project reaches the agreed-upon milestone, typically during the development phase.
d. Final Payment: The final 20% is due upon project completion and before the final website is deployed live.
e. Late Fees: An additional 3% late fee will be applied to any overdue payments.
III. Client Responsibilities
a. Project Information: The client must provide clear and detailed guidelines for the project, including a thorough explanation of what is needed.
b. Content: The client is responsible for providing all content for the website, including text, images, videos, and any other media.
c. Content Rights The client warrants that all provided content is original or that the client has secured all necessary rights, permissions, and licenses for its use. Big Boys Media is not responsible for any copyright or intellectual property infringement claims arising from the content provided by the client.
IV. Intellectual Property:
The client retains all intellectual property rights to any content they provide.
Big Boys Media retains ownership of all project-related materials, including design files, code, and other components, until the client has paid 100% of the project cost and the website has been deployed. Upon receipt of full payment, all intellectual property rights to the final, deployed website will be transferred to the client.
V. Revisions
a. Design Revisions: We offer two rounds of revisions on the initial design concept only. Any additional design changes beyond the two included rounds may be subject to additional fees.
b. Development Revisions: Once the design has been finalized and approved, and the project has moved into the development phase, any changes or revisions to the development will be subject to a charge equal to 5% of the total project cost, even for minor adjustments.
VI. Termination
a. Client Termination:
The 60% advance payment is non-refundable.
If the client
terminates the contract after the development phase has begun, they will
be charged for all work completed up to the date of termination based on
the project’s hourly rate. Any additional amount paid beyond that will
be refunded.
b. Termination by Big Boys Media:
Big Boys Media reserves the right to terminate the contract in the event
of a client's breach of contract, including but not limited to:
Non-payment of fees.
Lack of communication or
unresponsiveness that prevents project progress.
Refusal to
cooperate with reasonable requests.
Significant and unreasonable
scope creep that alters the project's original agreement.
c. Developer's Breach:
The client may terminate the agreement if Big Boys Media commits a
significant breach, such as:
Failure to meet agreed-upon deadlines.
Non-performance of
services.
Breach of confidentiality.
A significant deviation
from the agreed-upon scope without mutual consent.
VII. Termination Conditions
a. Mutual Agreement: Both parties may mutually agree to terminate the contract at any time.
b. Force Majeure: The agreement may be terminated due to unforeseen events beyond either party's control that make it impossible to fulfill the contract, such as natural disasters, acts of war, government lockdowns, or the death of a team member or immediate family member (siblings/parents).
VIII. Confidentiality
Big Boys Media understands and acknowledges the importance of confidentiality when handling sensitive client information.
a. Handling Sensitive Information: We will only access information such as login credentials, business strategies, and client data as required to complete the project and will never share it with unauthorized third parties.
b. Non-Disclosure Agreement (NDA): Our standard contracts include a legally binding NDA that obligates us to protect your proprietary information, covering all project-related communications, documents, and data.
c. Data Security: We use secure and encrypted methods for storing and transmitting your information to prevent unauthorized access.
d. Team Access: Only Big Boys Media team members directly working on your project will have access to your sensitive data. All employees are trained on confidentiality best practices.
e. Post-Project Obligation: Our commitment to confidentiality extends beyond the completion of the project, as specified in our contract.
